ABOUT THE ROLE
Range is seeking an Associate General Counsel to take ownership of a wide range of legal issues, including contracts and transactional work, as well as regulatory matters. Reporting to the Chief Legal Officer, you will be the day-to-day legal partner our business teams come to first—turning around agreements quickly, spotting the issues that actually matter, and giving clear answers rather than long memos.
This is a builder's role at an early-stage legal function. You will own contract review and negotiation end to end, work shoulder to shoulder with our compliance team on the regulatory questions that come with operating in an investment adviser/broker-dealer environment, and support the corporate and transactional work that comes with hyper-growth. You'll see the full range of issues a modern fintech faces, with real responsibility from day one and a direct line to the executive team.

WHAT YOU’LL DO WITH US
- Draft, review, revise, and negotiate commercial agreements, including vendor, SaaS and technology, and NDAs.
- Move contracts through the full lifecycle, and build the templates and playbooks that let Range move faster as volume grows.
- Partner closely with compliance on regulatory matters affecting our investment advisor and broker-dealer businesses, including marketing review, member-facing disclosures, and policies and procedures.
- Support the Chief Legal Officer on responses to regulatory inquiries and examinations.
- Be a responsive, plain-English legal resource to product, engineering, finance, sales, marketing, and operations.
- Support corporate and transactional work alongside the Chief Legal Officer including financings, strategic partnerships, M&A diligence, board resolutions, equity documentation, and entity records.
- Work with product and engineering to surface legal and regulatory considerations early on new products and platform capabilities.
- Track legal and regulatory developments across fintech and wealth management, and help shape Range's response.
- Build internal training and self-service resources so business teams know when to bring Legal in.
- Support the management of outside counsel on specialized matters.
WHAT WILL SET YOU APART
- JD from an accredited law school and active membership in at least one U.S. state bar (VA, DC, or MD preferred, or eligibility to register as in-house counsel).
- 3+ years of post-JD experience, including time in-house at a technology company, financial services firm, or fintech organization.
- Corporate/transactional or regulatory background, ideally with a mix of law firm and in-house experience.
- Proven ability to draft, review, and negotiate commercial agreements independently and at volume.
- Strong business judgment. You weigh legal risk against commercial objectives and make a clear recommendation.
- Excellent drafting and communication skills, translating complex legal issues into clear business guidance.
- Comfort with a fast-paced startup environment: incomplete information, competing priorities, shifting scope.

What You’ll Do
As Corporate Counsel at Lambda, you will perform a broad range of legal work with a primary focus on supporting and overseeing a variety of corporate governance, equity administration, securities and transactional matters, with a potential focus on preparing for and executing a public offering. You will report to Lambda’s Associate General Counsel, Corporate.
- Corporate Transactions: Provide counseling, support, and organization to enable key business initiatives like equity fundraising rounds, debt financings, M&A and strategic investments.
- Equity Management:
- Maintain and update the cap table in Carta, draft equity grant approvals, field employee equity questions, update equity grant documentation, coordinate quarterly 409A valuations.
- Manage an active secondary sale market from receipt of a transfer proposal through coordinating closing logistics and updating the cap table.
- Corporate Governance: Prepare board and committee materials (resolutions, minutes, written consents) and manage entity maintenance tasks, including registrations and filings.
- Subsidiaries: Assist in the formation and dissolution of entities to support Lambda’s ever growing financing and development structures, including international entities, and support changes in entity structure.
- People & Culture: Partner with the People teams to support various initiatives to support Lambda’s culture. Projects may include advising on employee and management handbooks and developing and delivering training for employees on various legal adjacent topics (e.g. equity compensation).
- Research and Process Improvement: Monitor evolving industry regulations and leverage legal-tech solutions to automate workflows, streamline contract review, and drive continuous process enhancements.
- As-Needed Legal Support: Collaborate on employment, IP,debt financings,, equity administration support, and ad hoc projects as priorities shift.
You
- JD from an accredited law school and admission to practice in at least one U.S. jurisdiction (California bar preferred or in-house registration).
- 3+ years of combined law firm and/or in-house experience, with demonstrated strength supporting corporate transactions, governance and equity administration.
- Solid corporate background covering governance, financings, and entity management.
- Exceptional drafting and negotiation skills, with an ability to balance legal risk against business objectives.
- Strong interpersonal and communication skills; adept at collaborating with stakeholders at all levels.
- Proactive mindset, meticulous attention to detail, and ability to manage competing priorities in a fast-paced environment.
Nice to Have
- Experience at a late-stage private or pre-IPO company.
- Familiarity with public-company readiness, IPO processes, and 34 Act filings.
- Experience negotiating procurement/commercial agreements.
- Experience with debt financings.

ABOUT THE TEAM
The Legal Team at Mural is a collaborative and highly trusted partner, working cross-functionally across the entire company. YOUR MISSION
You will report directly to the General Counsel. You will get to apply your contract drafting and negotiations skills as well as your broader legal and business acumen to supporting the GTM and product teams.
WHAT YOU'LL DO
- Draft, review, and negotiate commercial agreements: SaaS subscription agreements, MSAs, SOWs, RFPs and NDAs.
- Serve as the primary legal point of contact for the Sales team, partnering directly with Account Executives and sales leadership throughout the deal cycle to structure terms, manage risk, and close deals efficiently.
- Partner with Deal Desk, Revenue Operations, and Finance on pricing, discounting, and other revenue-sensitive deal terms.
- Advise on data privacy and security terms in customer agreements, partnering with the Privacy and Security teams as needed.
- Own and continuously refine contract templates, fallback positions, and negotiation playbooks to improve consistency, reduce turnaround time, and enable the sales team to self-serve on standard terms.
- Negotiate and manage partner, reseller, and vendor/procurement agreements in support of GTM and business operations needs.
- Support contract renewals, upsells, and amendments, and field post-signature questions on contract interpretation from Customer Success and Account Management.
- Identify and help implement ways to streamline and scale the contracting process, including AI-assisted contract drafting and review.
WHAT YOU'LL BRING
- 4+ years of experience negotiating and structuring commercial agreements, with a focus on SaaS/technology transactions (in-house and/or law firm experience considered)
- JD from an accredited law school and active membership in at least one U.S. state Bar in good standing.
- Developed knowledge of core SaaS commercial concepts and working knowledge of data privacy frameworks.
- Strong business judgment and comfort making pragmatic, risk-adjusted decisions independently and under time pressure.
- Excellent communicator who can translate legal concepts for non-legal, business stakeholders and build trusted relationships with Sales and other GTM partners.
- Comfortable operating in a fast-paced environment with competing priorities and a high volume of concurrent matters.
- Experience with AI-assisted contracting tools.
